1. Introduction

These Terms and Conditions (“Agreement”) govern your use of PODremit’s payment services. By initiating or receiving a transaction through PODremit, you agree to be bound by these Terms.

2. Definitions

• “Payer”: The individual authorizing payment.
• “Recipient”: The individual or entity for whom payment is made.
• “Merchant”: The business receiving payment for goods or services.
• “Escrow”: Temporary holding account when merchants are not yet onboarded.

3. Eligibility

To use PODremit for payments, you must:

• Be at least 18 years of age.
• Provide accurate identity and payment information.
• Comply with KYC/AML verification requirements.

4. Payment Authorization

• A transaction is not final until authorized by the Payer.
• By authorizing, you consent to PODremit debiting your funding source (bank, card, wallet).
• PODremit may decline or reverse transactions for fraud, risk, or regulatory reasons.

5. Fees and Charges

• A transaction is not final until authorized by the Payer.

6. Merchant and Escrow Transactions

• Onboarded merchants receive payouts directly.
• Non-onboarded merchants’ funds may be held in escrow until verified.
• If onboarding is not completed within the specified period, funds may be refunded to the Payer.

7. Refunds and Disputes

• Refunds are subject to merchant policies and applicable law.
• PODremit is not responsible for merchant failure to deliver goods or services but may assist in dispute resolution.
• Chargebacks may result in account suspension.

8. Compliance

• All users must comply with KYC/AML/CFT regulations.
• PODremit may request additional documents or suspend services to ensure compliance.

9. Limitation of Liability

• PODremit provides services “as is” and makes no guarantees.
• Liability for any claim is limited to the amount of the transaction at issue, excluding fees.
• PODremit is not liable for indirect, incidental, or consequential damages.

10. Indemnification

You agree to indemnify Sojisphere Solutions LLC, its affiliates, and partners against claims, damages, or losses arising from your use of PODremit or violation of this Agreement.

11. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Illinois, USA. Any disputes shall be
resolved exclusively in the courts of Chicago, Illinois.

12. Changes to This Agreement

We may update these Terms and Conditions from time to time. When we do, we will revise the 'Effective Date' above. Continued use of PODremit constitutes acceptance.
